TEMPO.CO, Jakarta - PT Pertamina (Persero) officially merged PT Pertamina Energy Terminal (PET) into PT Pertamina Patra Niaga (PPN), which runs the downstream subholding's operations. The merger took effect on September 1, 2026, as part of Pertamina’s restructuring of its downstream business.
The merger deed was signed by the CEO of Pertamina Patra Niaga, Mars Ega Legowo Putra, and the CEO of Pertamina Energy Terminal, Bayu Prostiyono, at the Pertamina Head Office in Jakarta on Monday, August 31, 2026.
At the same time, Pertamina Patra Niaga also signed changes to the company's articles of association in the presence of notary Jose Dima.
The CEO of Pertamina, Simon Aloysius Mantiri, stated that this merger is an effort to integrate Pertamina's downstream business to be more efficient and competitive.
“What we are signing today is a joint commitment to build a downstream business that is not only structurally integrated but also reliable, competitive, and fair,” Simon said as quoted from the written statement on Tuesday, September 1, 2026.
He added that the transformation process should not disrupt the energy services to the public. According to Simon, the downstream business operations should continue as usual during the integration process and after the merger takes effect.
Simon stated that this merger is also in line with Danantara's mandate to drive the transformation of SOEs into more adaptive, agile, and competitive companies. Therefore, after the merger takes effect, Pertamina will continue to organize business processes and organizations in the Downstream Subholding.
The next focus areas are optimizing the value chain, improving operational cost efficiency, and strengthening synergy between business units. The merger of Pertamina Energy Terminal into Pertamina Patra Niaga is part of the Second Phase of Downstream Business Restructuring.
This restructuring continues the first phase that took effect on February 1, 2026. In the first phase, Pertamina merged PT Kilang Pertamina Internasional (KPI) and ten special purpose vehicle (SPV) companies owned by PT Pertamina International Shipping (PIS) with Pertamina Patra Niaga. Additionally, Pertamina Patra Niaga took over the PIS-owned fleet of captive ships.
